Private Placements
The private market offers another efficient way for companies to raise capital. J.P. Turner's Investment Banking Division fosters relationships with a spectrum of lenders, including domestic and commercial banks, insurance companies, high-net-worth individuals, finance companies, institutional investors and a number of specialized pools of capital who place a great deal of trust in our ability to identify promising business opportunities. As a result, we can develop an optimal financing structure to compliment management objectives and present market opportunities.
Investment Banking takes responsibility of designing appropriate capital facilities that coincide with each client's goals and economic ability. Our investment banking professionals are involved in every stages of the financing transaction to ensure the proper steps are taken to successfully complete the transaction. Our corporate finance team specifically identifies lenders and/or investors, structures the capital facility, negotiates the terms and conditions of the financing, and coordinates the activities among the issuer, investor, legal counsel and other advisors.

J.P. Turner's Investment Banking Division assists clients in all aspects of mergers, acquisitions and divestitures. We are particularly sensitive to the issues surrounding these business decisions, such as finding the "right" buyer or seller, negotiating the price and honoring commitments made to a company's employees and community. Among other benefits, mergers and divestitures can provide liquidity to a company or its owners and can enable companies to focus talent and resources on the most profitable businesses available.

Turner assists in the confidential identification and evaluation of prospective buyers or sellers, and attends negotiations from the initial contact to closing. Reverse Mergers
We assist companies with both traditional and creative financings, including sourcing "public shells" from J.P. Turner's network of investment banking relationships; to include the financing of reverse mergers. Reverse merger transactions are an alternative means for a private company to go public. Once a public shell, that being a publicly listed company with little or no assets or liabilities, has been secured, J.P. Turner's investment banking professionals can then assist the company in becoming public in this alternative way. It is called a "shell" because all that exists of the original company is its corporate shell structure. By merging into such an entity, a private company becomes public. This new public entity can then utilize financing options that are not usually available to privately held companies. Given that being a publicly traded company will have reporting, legal and other regulatory requirements, J.P. Turner's experienced investment banking team will initially perform an evaluation/scope analysis to determine if this is a viable option for your organization.
